This document is starter content that describes how EMBER and this website operate today. It is provided so the pages are complete and editable from the outset, and it is pending review by EMBER’s legal counsel before it is relied upon as the club’s binding agreement. Sections that require legal judgment are marked accordingly.
1. About these terms
These Terms and Conditions govern your use of the EMBER website and, where you become a member, your membership in the club. EMBER is a private membership social club. By using this website, submitting a membership application, or joining the club, you agree to these terms as they stand when you accept them.
EMBER may update these terms from time to time. When we do, the effective date shown above changes, and the current version is always the one published here. Material changes affecting existing members will be communicated to members directly.
2. Membership
Membership in EMBER is by application and is granted at the club’s discretion. Submitting an application does not guarantee acceptance, and EMBER may decline or revoke membership in accordance with its membership policies. Membership is personal to you and may not be transferred without the club’s written consent.
Members are expected to conduct themselves respectfully toward other members, guests, and staff, and to follow the house rules communicated by the club. EMBER may suspend or end a membership for conduct that breaches these terms or the house rules.
3. Dues, fees, and payments
Membership may require an initiation fee and recurring dues, as described at the tier you apply for. Payments made through this website are processed by our payment provider, Stripe; EMBER does not store your full card details. Fees and dues are described at the point of purchase, and any tax is applied as required.
Refund and cancellation terms for dues and event tickets will be set out in the club’s membership agreement and are pending counsel review before they take binding effect.
4. Events, RSVPs, and guests
The website lets members and invitees learn about and RSVP to EMBER events. RSVPs and any associated ticketing are subject to capacity, event-specific conditions, and the club’s guest policy. Some events are limited to particular membership tiers or invitees.
5. Acceptable use of this website
When using this website, you agree not to:
- use the site for any unlawful purpose or in breach of these terms;
- attempt to gain unauthorized access to any account, system, or data;
- interfere with the site’s operation or security, or with other users' use of it;
- submit information that is false, or that you are not authorized to provide.
6. Intellectual property
The EMBER name, logo, brand, and the content of this website are owned by EMBER or its licensors and are protected by intellectual property laws. You may not copy, reproduce, or use them without permission, except as needed to use the website for its intended purpose.
7. Third-party services
This website relies on third-party services to function, including Sanity (content management), Stripe (payments), HubSpot (forms and communications), Supabase (application and account data), Twilio (text messages, if you have asked for them — see the SMS Terms), and Microsoft Clarity (analytics, used only with your consent — see the Privacy Policy and Cookie Preferences). Your use of those features may also be subject to those providers' terms.
8. Disclaimers and limitation of liability
Counsel-owed. The disclaimers, warranty terms, and any limitation of EMBER’s liability require legal judgment specific to the club and its jurisdiction, and are pending review by EMBER’s counsel. They will be completed here before these terms are relied upon as binding.
9. Dispute resolution and governing law
Counsel-owed. The governing law, jurisdiction, and any dispute-resolution or arbitration provisions are pending review by EMBER’s counsel. EMBER operates from Minneapolis, Minnesota; the applicable law and venue will be confirmed here by counsel.
